These Terms & Conditions (“Terms”) govern your access to and use of Saarathi's websites, waitlists, newsletters, pre-release programs, mobile and web applications, and related services (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Depending on where you live, mandatory consumer protections may apply that cannot be limited by contract. Nothing in these Terms is intended to override non-waivable statutory rights.
Electronic agreement / binding acceptance
Your click-through confirmation, signup, continued access, waitlist enrolment, use of previews, demos, bots, integrations, or any act that consumes bandwidth or compute on our infra constitutes affirmative, knowing consent to these Terms & Policies as then posted. You waive any objection that electronically stored records lack handwritten signatures absent a statute mandating otherwise. If you procure access via an employer or school, their internal IT policy does NOT supersede Terms unless we sign a separate enterprise agreement naming that entity explicitly.
No reliance on roadmap, savings figures, ETAs or marketing claims
Website KPIs (savings benchmarks, timelines, uptime targets, rollout maps, illustrative UI) are directional and non-binding — informational only. Absent separate signed performance annex, Saarathi owes no service level commitments. You waive promissory estoppel / detrimental reliance equitable claims except fraudulent misrepresentation provable independently of marketing hyperbole.

Important relationship disclaimer
Saarathi is a technology platform intended to facilitate connections between commuters. We are not a transportation carrier, taxi or private hire operator, employer of drivers, agent for drivers or passengers, or insurer of trips. Drivers and passengers are independent third parties entering arrangements directly with one another. You are solely responsible for determining whether any trip is lawful, adequately insured, and safe for you.
No fiduciary, bailment, agency, partnership, joint venture, or trust relationship arises. We owe no duty of good faith beyond what applicable law mandates as non-dismissible. Screening, SOS UX, moderator acts, outage comms — however responsive — are convenience measures forming no assumption of ongoing protection duty.
Eligibility and account security
You must:
- Be at least 18 (or the age of majority where you live) and have legal capacity to enter a binding agreement.
- Provide accurate information and keep it current. Misrepresentation (including spoofed emails or identities) may result in immediate suspension.
- Maintain the confidentiality of credentials and promptly notify us of suspected unauthorised access.
You may not transfer your account without our written consent. You are liable for activity on your account until you securely disable it or we reasonably terminate access after notice where appropriate.
Beta, waitlist, pre-release programmes
Portions of the Services may be incomplete, unstable, experimental, or available only to invited users. We may modify, suspend, or discontinue features or entire programmes without liability. Availability in any geography is not promised.
Verification badges (no guarantee)
Any labels such as workplace, NHS, institutional, domain-based, “verified”, or trust scores are informational tools only. Verification does not constitute a safety guarantee, endorsement, background check clearance, suitability determination, employment confirmation, licensing confirmation, criminal history clearance, identity proof to any particular standard, or suitability of any vehicle or insurance coverage.
Verification systems can be imperfect. You must independently assess risk before meeting anyone or travelling. If you rely solely on badges, you accept that residual risk remains.
Scrapers, benchmarking, bots, resale
Automated access (scraping, crawling, scripted load tests, unauthorised API harvesting, circumventing auth, header spoofing, token replay, mass account generation) is forbidden unless we issue written API keys. You may not benchmark Services publicly, publish performance comparisons, or monetise access without explicit permission. Breach may trigger summary termination, IP blocks, injunctive enforcement, and damages pursuit (including reasonable internal investigation costs) where recoverable.
Conduct rules — strict obligations
You agree not to misuse the Services. Without limitation, you must not engage in harassment, stalking, threats, coercion, hate speech, discriminatory conduct, voyeuristic recording, unsolicited sexual commentary, deception (including impersonation), phishing, scraping beyond reasonable personal use without permission, reverse engineering beyond applicable law, interfering with service integrity, circumventing restrictions, artificially manipulating ratings/trust signals, laundering activity, violating export controls or sanctions, or encouraging illegal rides (including where local law requires regulated operator arrangements).
Drivers and passengers remain responsible for compliance with road traffic laws, MOT/roadworthiness obligations, licence conditions, permitting rules, HMRC/tax/reporting obligations, insurance policy terms, GDPR where applicable as independent controllers in some contexts, and any prohibition on arranging paid transport without proper authority.
Payments, fares, cancellations, refunds
Where payments are enabled, processing may be handled by integrated payment partners. Fees, deductions, payout timing, disputes, refunds, FX, VAT, PSD2/regulatory overlays, payment instrument holds, fraud controls, chargebacks and associated fees may apply as disclosed in-product and in partner terms.
You authorise Saarathi and designated partners to take actions reasonably necessary to process payments you initiate. You agree that fare disputes may be escalated according to dispute flows we publish, and we may withhold payouts where fraud, legal process, sanctions risk, chargeback risk or safety investigations require it.
Content you provide; licence grant
If you submit content (including profiles, chats, imagery, complaints, telemetry consents within product scope), you represent you have rights to do so and it does not infringe third-party rights or law. You grant Saarathi a worldwide, non-exclusive, royalty-free licence to host, reproduce, distribute, adapt (e.g., format conversions), publicly display limited elements as needed to operate/improve/support/promote the Services, comply with legal obligations, protect users (including enforcing policies), generate aggregate analytics, detect abuse, maintain backups (including jurisdictional failover), train safety classifiers consistent with applicable law & Privacy Policy disclosures, and create de-identified statistical outputs.
Moral rights are waived to the maximum extent permitted. You remain owner of content; this licence survives termination for copies retained pursuant to lawful retention/dispute timelines.
DMCA-style notices
If you believe content infringes your copyright, submit a compliant notice via gunjeet@saarathi.club with sufficient detail for us to assess. Misrepresentations may carry legal consequences.
Privacy
Our Privacy Policy describes how we process personal data. It is expressly incorporated here by reference (Privacy Policy).
Disclaimer of warranties (read carefully)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, SECURITY, FREEDOM FROM INTERRUPTION, VIRUS-FREE EXPERIENCE, OR THAT ANY USER IS WHO THEY CLAIM TO BE.
We do not warrant any particular savings amount, commute outcome, emission reduction, ETA accuracy, uninterrupted chat reliability, uptime, completeness of routing data, suitability of counterparties or vehicles, uninterrupted payment rails, or legality of any particular trip arrangement in your locality.
Limitation of liability (caps and exclusions)
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHICH CANNOT BE EXCLUDED UNDER APPLICABLE LAW (FOR EXAMPLE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE NON-WAIVABLE, OR FRAUD).
SUBJECT TO THE PREVIOUS SENTENCE, TO THE MAXIMUM EXTENT PERMITTED BY LAW: SAARATHI AND ITS AFFILIATES, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, PUNITIVE, LOSS OF PROFITS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, CORRUPTION/DATA LOSS, REPUTATIONAL HARM, OR ANY SIMILAR DAMAGES, WHETHER UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE — EVEN IF ADVISED OF POSSIBILITY.
TOTAL AGGREGATE LIABILITY OF SAARATHI FOR ALL DIRECT DAMAGES OF ANY KIND (CONTRACT, TORT, STATUTE, EQUITY) IS CAPPED AT THE LOWER OF: (I) GBP £50 / EUR €50 IN TOTAL PER USER LIFETIME FOR THE SERVICES, OR (II) THE NET FEES (AFTER CHARGEBACKS/REFUNDS) YOU PAID TO SAARATHI FOR PLATFORM SERVICE FEES IN THE THREE (3) MONTHS BEFORE THE FIRST EVENT FORMING THE CLAIM BASE. NON-PAYING WAITLIST / PREVIEW USER CAP = ITEM (I).
SOME JURISDICTIONS FORBID LIABILITY CAPS ENTIRELY AGAINST CONSUMERS; WHERE THAT APPLIES, THIS CAP MOVES AUTOMATICALLY TO THE LAWFUL CEILING WHICH MAY STILL ALLOW MEANINGFUL LIMITATION OF CONSEQUENTIAL CLASSES ALREADY EXCLUDED ABOVE.
Indemnity
You will defend, indemnify, and hold harmless Saarathi from third-party claims, losses, liabilities, governmental penalties, and reasonable professional fees arising from your use of Services, breach of Terms, misconduct with other users, unlawful trip arrangements where you organise them, infringing content supplied by you, or gross negligence/intentional misconduct. We reserve exclusive defence control for matters implicating systemic compliance; you cooperate reasonably at your cost.
For claims alleging IP infringement or misappropriation traceable to your uploads, metadata, or communications, your indemnity obligation is uncapped to the extent permitted by law (subject to fraud carve-outs). You authorise us to settle defensible claims where commercially rational without your consent if we fully release you from monetary exposure you would otherwise bear under this clause.
Suspension and termination
We may suspend or terminate accounts, delete content, withhold payouts reasonably required for fraud/safety/regulatory posture, and block devices where necessary to mitigate harm — with or without prior notice depending on severity, legal constraints and user safety urgency. Survival sections (ownership, disclaimers, limitations, indemnity, governing law/disputes etc.) endure.
Dispute resolution; governing law; forum
Laws of England and Wales govern interpretation of Terms (excluding conflict rules where disallowed). courts of England & Wales have exclusive jurisdiction subject to compulsory consumer carve-outs granting you protections in Scotland, Northern Ireland, Republic of Ireland, or elsewhere that cannot contractually be removed.
You agree that unresolved disputes arising from Terms or Services shall first be escalated informally via gunjeet@saarathi.club (30-day negotiation window absent urgent safety escalation need). Afterwards, claims proceed in competent courts absent different mandatory regimes.
To the fullest extent permissible, you waive any right to pursue representative or class proceedings against Saarathi; if waived unenforceably, adjudication bifurcates.
YOU WAIVE TRIAL BY JURY IN ANY ACTION ARISING FROM TERMS OR SERVICES TO THE FULL EXTENT ANY JURY RIGHT EXISTS IN YOUR JURISDICTION'S CIVIL PROCEDURE FRAMEWORK.
Time limit to bring claims
ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO TERMS OR SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUED OR BECAME DISCOVERABLE THROUGH REASONABLE DILIGENCE (WHICHEVER IS SOONER) — OTHERWISE PERMANENTLY BARRED — notwithstanding any longer limitations period statutes might otherwise prescribe where contractually permissible to shorten.
Exclusive remedy
WHERE LIABILITY IS NOT DISALLOWED ENTIRELY, YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE EITHER (CONSISTENT WITH THE CAP) (A) AN INJUNCTION ONLY IF LAW MANDATES INJUNCTIVE AVAILABILITY AND YOU CANNOT BE MADE WHOLE THROUGH MONEY DAMAGES EXCLUSIVELY, OR (B) THE CASH PAYMENT EQUAL TO OUR LIABILITY CAP AFTER OFFSETTING ANY AMOUNTS YOU OWE — NO OTHER FORM OF RELIEF (INCLUDING SPECIFIC PERFORMANCE EXCEPT WHERE MANDATORY). YOU ACKNOWLEDGE SOURCING ADDITIONAL WARRANTIES OR COMMERCIAL INSURANCE AGAINST PLATFORM RISK IS ENTIRELY YOUR RESPONSIBILITY.
Set-off / recoupment
We may set off any amounts you owe Saarathi (chargebacks reversed, investigative costs we elect to recharge when contractually fair, liquidated dishonour fines where separately stated, fraud recoveries) against payouts, credits, balances, or future entitlements without prior separate demand except where law demands written notice.
Fees and enforcement costs
If we prevail in enforcing Terms (including collections / injunctive relief where granted), you reimburse reasonable legal and expert fees to the extent awardable under forum rules; where not awardable, you still bear your own costs and ours are forfeit only if a tribunal orders so.
Injunctive relief & equitable remedies (our side)
You agree Saarathi may seek immediate injunctive or equitable relief (no bond required where rule permits waiver) for misuse of IP, bypassing safety controls, scraper attacks, reputation dilution through fake apps, or continuing breach threatening irreparable harm — without prejudicing other remedies.
Electronic communications
You consent to receive operational, legal and security communications electronically including email or in-product notices, satisfying any writing requirement where permitted.
No assignment without consent
You may not assign Terms without consent. Saarathi may assign in connection with corporate transactions.
Third-party integrations
Mapping, telecom, moderation, moderation AI, telemetry, observability vendors, CRM, authentication, telemetry, SOC tooling, or payment gateways may underpin features. Third-party acts are governed by partner terms separately.
Open source & intellectual property notice
SaaS/UI assets, logos, textual materials, compilations remain Saarathi or licensors' intellectual property absent explicit open licence markings. Unauthorized extraction for competing dataset training or scraper fleets is forbidden (subject always to non-waivable fair dealing rights).
No emergency services
SOS features complement — not replace — emergency services numbers. Dial local emergency authorities when life at risk unless an offered integration explicitly states otherwise regulated status.
Severability; entire agreement
Invalid provisions trimmed; remainder survives. These Terms constitute the entire agreement relating to scope described, overriding prior informal statements about same subject excluding fraud.
Changes
We may update Terms materially; material changes summarized with effective date posting. Continued use after effectiveness constitutes acceptance except where strengthened consent mandated (e.g., certain GDPR-related processing pivots surfaced under Privacy Policy).

This document is contractual, not personalised legal counsel. Operators should procure independent regulated advice relating to local transport/licensing/tax regimes.
